Digital Ownership Terms

These terms define what it means to own a share of an IveVex digital work. They supplement the Terms of Service and the Purchase Terms.
Definition of a share
A share is a documented co-ownership interest in one numbered edition of one work, recorded in the studio's ledger. Each edition is divided into a fixed number of shares set at publication. Your percentage is your share count divided by that fixed total, and it does not change as other shares are sold.
How ownership is recorded
On confirmed payment we create an immutable ledger entry containing the holder's name and email, the work, the edition number or edition range, the number of shares, the purchase date, the payment reference and a unique certificate number in the format IV-YYYY-XXXX-XXXX. The certificate is the evidence of that entry; the entry is the record.
Multi-edition allocation
Where an order exceeds the shares remaining in the current edition, the remainder is allocated to the next numbered edition of the same work. Your certificate states the exact edition range and the shares held in each.
Rights granted
- Recognition as a recorded co-owner of the identified edition.
- A personal, non-commercial right to keep, view and privately display the work.
- A certificate, re-issuable from the same record at any time.
Rights not granted
- No copyright, trademark, licensing or reproduction rights.
- No security, equity, unit, fund interest or other financial instrument.
- No dividend, yield, revenue share or profit participation.
- No right to compel a sale, buy-back, valuation or liquidity event.
- No on-chain token - blockchain minting is not currently active.
- No possession of, or right to take delivery of, any physical object unless expressly stated.
Transfers
IveVex does not operate a secondary market and does not broker resales. We may, at our discretion, record a transfer between two identified individuals - for example on inheritance or gift - after verifying both parties. A recorded transfer supersedes the previous certificate.
Not an investment
Shares are discretionary purchases of art. They are not offered or marketed as investments, carry no expectation of return, and their value is subjective and may be nil. Nothing on this site is financial, tax or legal advice.
Record retention and continuity
Ledger entries and certificates are retained for at least the period required by applicable accounting law, and in practice for the life of the studio. If the studio ceases operating, holders will be notified and provided with a copy of their records.
Future on-chain functionality
If on-chain minting is introduced, participation will be optional, the terms and any fees will be published in advance, and no existing record will be migrated without the holder's consent.
